Step by step

# Company formation without the maze

Setting up a Bulgarian EOOD sounds scary, but it is really a few clear steps. Here is the whole path from idea to a working company, and which parts we take off your plate.

1

Together

### We prepare the documents

You pick a name and we check it is free in the Commercial Register. You fill in a short form and receive print-ready documents: articles of association, declarations, the manager's consent with a specimen signature, and a power of attorney to us. You just print them.

2

You

### Open a capital deposit account

At any bank you choose. You deposit the founding capital (the legal minimum is symbolic, the amount is up to you) and receive a certificate of deposited capital. The account is temporary and serves only the registration.

3

You

### A short visit to the notary

You certify the manager's consent with the specimen signature and the power of attorney to us. Fifteen minutes and a small fee. This is the only place where the law requires you to show up in person.

4

You

### Send us the documents

By courier or in person. We review everything down to the last comma before moving forward.

5

We

### We file with the Commercial Register

We file electronically, at the lower state fee. Registration usually completes in 1–3 business days and your company receives its EIK (company ID number).

6

You

### Activate the account and start working

After registration the bank converts the deposit account into a normal current account. Done: you have a working company, and from day one the accounting is our job.

Optional

### What about VAT registration?

If you want, we request VAT registration together with the incorporation, so you skip a separate procedure later. You tick it in the form at step 1 and we handle the rest. When it makes sense:

- It is mandatory when your taxable domestic turnover for the calendar year exceeds €51,130. The application is due within 7 days after the threshold is exceeded
- Special grounds (e.g. Art. 97a of the VAT Act) can require registration much earlier, even before your first invoice: for example with EU clients or suppliers
- Buying property through the company? In some cases VAT registration lets you reclaim the VAT
- Voluntary registration is possible at any time, but doing it at incorporation is fastest

Not sure? Tell us what you are planning (activity, expected turnover, EU clients and suppliers) and at incorporation we will make a short initial assessment of whether you need VAT registration. It is included and is based on the information you give us. More detailed tax planning is a paid [consultation](https://freeme.bg/en/experts).

### What you need

- Your ID card or passport
- A company name (plus a backup)
- A registered address
- Your business activity, described in a few words
- A decision on how much capital to deposit

### Approximate costs

- State fee for electronic filing: about €30
- Notary certifications: €10–25
- Bank fee for the deposit account: €10–25 depending on the bank
- Our part: included in the FreeMe.bg plans

Amounts are approximate and set by the institutions. Before we start, you get an exact quote with no hidden surprises.

## Questions about registering a company

### How long does it take to register an EOOD?

Usually 1 to 3 business days after filing with the Commercial Register. We file electronically, at the lower state fee, and once the entry is made your company receives its EIK. Before that, you prepare the documents with us, deposit the capital in a temporary bank account and make a short visit to a notary.

### Do I have to go to a notary in person?

Yes, but only once. You certify the manager's consent with the specimen signature and the power of attorney to us, which takes about fifteen minutes and a small fee. It is the only point in the process where the law requires you to appear in person. Afterwards you send us the documents by courier or by hand.

### How much does it cost to register an EOOD?

Roughly: a state fee of about €30 for electronic filing, €10 to €25 for notary certifications and a bank fee of €10 to €25 for the deposit account, depending on the bank. Our part is included in the FreeMe.bg plans. The amounts are set by the institutions, and before we start you get an exact quote.

### What is the minimum capital for an EOOD?

The legal minimum is symbolic, about €1, and the amount is up to you. You deposit the capital in a capital deposit account at any bank you choose and receive a certificate of deposited capital. After registration the bank converts it into a normal current account.

### What documents do I need to register a company?

From you: an ID card or passport, a company name plus a backup, a registered address, a short description of the business and a decision on how much capital to deposit. We prepare the articles of association, the declarations, the manager's consent with specimen signature and the power of attorney: you fill in a short form and get them print-ready.

### Can I register for VAT when I set up the company?

Yes. You tick it in the form when we prepare the documents, and we request VAT registration together with the incorporation. It becomes mandatory once taxable turnover for the calendar year exceeds €51,130 (Art. 96 of the VAT Act), and voluntary registration is possible at any time. At incorporation we also make a short initial assessment of whether you need it.
