## 1. Scope

These terms and conditions (the “Terms”) govern the FreeMe.bg accounting service (the “Service”), which we provide through the app.freeme.bg application (the “App”), and the use of the FreeMe.bg website (the “Site”).

The Service is only for legal entities registered with a company ID (EIK) in the Bulgarian Commercial Register (for example EOOD, OOD, EAD, AD). We do not provide it to natural persons - including sole traders (ET) and freelancers - and it is not intended for consumers within the meaning of the Bulgarian Consumer Protection Act. Whoever creates a company in the App confirms that it meets this condition.

The content of the Site (texts, blog, plan descriptions) is for information only and is not accounting, tax or legal advice. What you get and at what price depends on the plan you chose and on these Terms. The Site may contain links to external sites; we are not responsible for their content.

## 2. Who we are and how the contract is concluded

The Service is provided by “FreeMe” OOD (FreeMe.bg), company ID (EIK) 123432567, with registered seat and address: Sofia, Sofia Business Park 9, email hello@freeme.bg (the “Company”, “we”). Our full details are on the [Legal notice](https://freeme.bg/en/legal-notice) page.

These Terms are the contract between us and you - the company on whose behalf you use the Service (“you”). The contract is concluded electronically, without a separate signed document: by signing in to the App you accept the Terms and the Privacy Policy, and when you create a company in it you accept, on its behalf, the Terms and the [Data Processing Agreement](https://freeme.bg/en/dpa) with an explicit confirmation. Whoever accepts on behalf of a company declares that they are entitled to represent it and to bind it.

We record the acceptance - who, on behalf of which company, which version and when - and keep the record as evidence of the contract.

The Terms are written in Bulgarian. The Bulgarian version is binding; the English version is a convenience translation. The version number and the effective date are at the top of this page.

## 3. Access to a company

You sign in to the App with a Google account or with a code sent to your email, with no password. Access to a company follows the legal facts about it, not settings you can change yourself:

- **Manager and owners.** They get access after our team has verified them and recorded them as such. This cannot be done with an invitation or a tick box in the App.
- **The creator of the company** has provisional access until we have verified the manager and received the power of attorney under section 6. Until that is done and we release the company for work, nobody can work in the company.
- **Viewers.** The manager and the owners can invite other people for viewing only. An invitation never gives the right to change anything.
- **Our staff** open your company only through a recorded session of limited duration, and their actions are logged.

You are responsible for whom you invite and what access you grant, and for resolving disputes between the people who have access to the company. If the manager or the owners of the company change, tell us - access changes once we have verified and recorded the change. Invited viewers also use the Service under these Terms.

## 4. Services per plan and extra services

The Service is provided under the plan you chose: “Start”, “Start VAT”, “Business”, “Business+” or, for companies with no activity, “Dormant company” (annual billing only, set up manually by our team). What each plan includes, its monthly limit of incoming documents and its price are described in the [pricing section of the Site](https://freeme.bg/en#pricing) at the time of your choice. Only incoming documents (purchase invoices and receipts) count toward the limit. Every plan includes the App, our accountants, the chat and the social insurance of one working owner of the company (self-insured or on a management contract).

**Payroll.** The Payroll module is an add-on to any plan and is switched on by our team at your request. With it we calculate the pay, social contributions and tax of the people who work for your company, issue the payslips and the payroll sheet, and file declarations form 1 and form 6 and the notifications under Art. 62 of the Labour Code. It is charged per person per month, at the price in the pricing section: for everyone on an employment or management contract that is active for at least one day of the month, and for everyone on a civil contract in a month they are paid under it. The working owner included in the plan is not charged. The module is billed monthly for the actual headcount, also when the plan is billed annually. Above 20 people the price is agreed individually. You can ask us to switch the module off at any time: the fee stops from the month after it is switched off, and the data already entered is kept.

Outside the plan, the following are ordered extra where the plan does not include them: consultations, special cases and, on “Business”, OSS. We do not yet offer a service for online stores. They are not part of the monthly price, are ordered explicitly - usually from the App - and are charged separately at their price at the time of the order. Documents above 100 per month on “Business+” are charged at the price for additional documents shown in the pricing section.

All prices exclude VAT; 20% VAT is added on top.

## 5. Plan limit

If your incoming documents exceed your plan’s limit **three months in a row**, we move you permanently to the next larger plan from the next billing period - but only **after we notify you** by email. We never change your plan without notice. If you do not agree, you can terminate the contract under section 10 before the new period starts.

The months in which the limit was exceeded are charged at the prices in the [pricing section](https://freeme.bg/en#pricing) according to the volume of documents in the month concerned; changing the plan does not change the charges for months that have already passed.

## 6. Your duties

- **Documents.** You give us complete and true documents and data for each month by the 5th of the following month. A document received after the cut-off goes into processing for the next period.
- **Payroll.** When you use the Payroll module (section 4): you tell us about a new hire in the App at least 2 working days before their first working day, because the NRA notification has to be filed before the person starts work; about a change to or the end of a contract, on the day you sign it. You enter the month’s absences, sick leave, overtime and bonuses by the 5th of the following month, or, if you pay salaries earlier, at least 3 working days before the pay date. As the employer, you conclude and sign the contracts and orders, keep the personnel files, pay the salaries, transfer the contributions and tax, and are responsible for health and safety at work.
- **Completeness: all accounts and all transactions.** The books must reflect all of the company’s business transactions (Art. 3(2) of the Bulgarian Accountancy Act), so you tell us about everything that affects its books and returns and give us the documents for it:
  - all of the company’s accounts - with banks in Bulgaria and abroad, with payment institutions and e-money institutions (for example Wise, Revolut, PayPal) and with platforms that collect payments for you and pay them out to you (for example Stripe), in any currency;
  - statements for every account for the full period, without gaps - from the previous statement to the end of the month, including when there were no movements;
  - cash: cash payments, cash documents and the reports from fiscal devices, if you have any;
  - all issued and received invoices and other accounting documents, including those issued outside the App;
  - contracts, loans (including from and to owners and related parties), leases, assets, liabilities and material events affecting the company.

You tell us about a new account in the App within **7 days** of opening it, and about a closed one within 7 days of closing it.
- **Completeness declaration.** Before we prepare the annual financial statements and the annual tax return, the manager (or another person who represents the company) confirms in the App, on the company’s behalf, a completeness declaration (management representation letter): that you have given us all accounts, statements, documents and information under the previous point, that you know of no unrecorded transactions and that the data is true. We may also ask for a short confirmation when you approve a periodic return (for example a VAT return). We record who confirmed, when and for which period. We may rely on the declaration and on the documents received; what we do if it is not confirmed or the data looks incomplete is set out in section 7.
- **Cooperation.** You approve where we ask and answer our questions within a reasonable time.
- **Accuracy.** You are responsible for the accuracy and completeness of the documents and data you give us and of the circumstances you declare. As the head of the company, the manager is responsible for organising its accounting and for its financial statements (Art. 16 of the Accountancy Act); we prepare them on the basis of what you give us.
- **Power of attorney.** You provide and maintain a valid power of attorney before the NRA (the Bulgarian tax authority), under which we file on the company’s behalf.
- **Account.** You keep your account secure (your Google account or the mailbox you sign in with) - do not share access to it and tell us immediately if you believe it has been compromised.
- **Personal data of third parties.** You enter only data for which you have a lawful basis (for example of your own employees, owners, customers and suppliers). Enter sensitive data such as bank account numbers only in the fields designed for that purpose, not in free text or notes. Give us health data (for example sick-leave certificates) only to the extent needed for payroll and social-security purposes - no more medical detail than is necessary.
- **Acceptable use.** You do not use the Service in a way that violates the law or the rights of third parties, nor for money laundering, tax fraud or any other unlawful activity. You do not attempt to breach its security, do not extract data from it by automated means (other than through the integrations we provide), do not reverse-engineer or decompile the App, and do not resell it or sublicense it to third parties without our consent. You treat our team with respect.

## 7. Our duties

- We automate as much as possible, but in the end there is always a person: an accountant reviews all incoming documents and their correct booking, and the monthly VAT returns are checked and signed by an accountant before they are filed. Payrolls are calculated, checked and approved by an accountant before they are booked and before we file the declarations based on them. Artificial intelligence helps (section 13) but does not replace this review.
- We keep your books and file the returns and reports under your plan - accurately and on time, based on the data and documents received by the cut-off under section 6. We file under the power of attorney, signed by a qualified accountant with a qualified electronic signature.
- **Checks with professional care.** We review the documents we receive with the care of a diligent trader and run reasonable consistency checks - for example whether the opening balance of each statement matches the closing balance of the previous one, whether any period is missing, and whether there are payments without a document, documents without a payment, or transfers to or from your accounts that we do not know about. When something looks missing or inconsistent, we ask you in the App and keep the question and your answer.
- We notify you when something needs your decision.

### When the data looks incomplete

If we notice that material documents or data are missing (for example a statement for part of the month, an account we learn about from a payment, or unrecorded sales), we tell you in the App what is missing and by when we need it. If we do not receive it in time:

- **Periodic returns with a statutory deadline** (for example VAT and social-insurance returns) are filed on time based on the data received, so that the company is not penalised for not filing, and we send you a written note of the gaps. When we receive the missing data, we reflect it, including by a corrective return where needed (section 8).
- **The annual financial statements and the annual tax return** are not finalised and are not signed by us as compiler until the completeness declaration under section 6 has been confirmed and the material gaps have been cleared. We remind you of this in good time before the statutory deadline.
- **Refusal or postponement.** We may refuse or postpone a filing or a signature if we have reasonable grounds to believe the document would contain untrue data, or if you refuse to give us the information we asked for. We tell you in writing and as early as possible, as a rule before the filing deadline.

We do not audit the truthfulness of your own transactions and documents, and beyond the checks above we do not search for accounts, transactions or documents you have not given us. We do not draft job descriptions, internal rules or orders, and we do not pay salaries, contributions or taxes on behalf of your company: we calculate them and tell you how much to pay and to whom. We do not give legal advice, and we do not give individual tax advice beyond the returns themselves. The exception is the short initial assessment of whether VAT registration is needed when the company is formed: it is included, is based on the information you give us (planned activity, expected turnover, EU clients and suppliers), and is not a guarantee of the tax outcome. More detailed tax planning and structuring is a consultation under section 4. We do not guarantee the tax outcome of transactions you choose.

We are liable for missing or unrecorded data only if we ignored a clear indication of it that we noticed or obviously should have noticed in the checks above - to the extent the law allows this to be agreed (section 15).

## 8. Fines and late filing

If we miss a deadline for filing a return or report under your plan **through our own fault**, we cover the fine or financial penalty imposed on your company because of the delay, and the interest on it. The condition is that you have met your duties under section 6: complete and true documents by the cut-off, a confirmed completeness declaration where one is required, and a valid power of attorney.

We do not cover tax and insurance contributions that are due even without the delay; fines, interest and other consequences caused by documents received after the cut-off, by incomplete, incorrect or withheld data (for example an undisclosed account, missing statements, unrecorded cash payments or invoices), by data about a hire, a change to or the end of a contract, or absences received after the deadlines in section 6, by your late approval or by an unconfirmed completeness declaration (including where, under section 7, we have not filed or signed); fines arising from your transactions or actions; and late payments to authorities. We cover the fine or financial penalty and the interest on it up to **€1,000 in total for each case** of a missed deadline. That amount is the standalone cap under this section: it does not depend on the subscription you paid and is not added to the overall limit in section 15.

**Corrections caused by incomplete or incorrect data.** Where data you did not give us, or gave us incorrectly, makes corrections necessary, the corrective returns, any additional tax and social-insurance contributions, and the interest, fines and penalties imposed on the company are borne by you. The extra work on the corrections (re-booking, corrective returns, explanations to the authorities) is an extra service under section 4, charged at the prices in the pricing section or, where no price is listed there, at a price we tell you in advance. Correcting an error that is ours under section 7 is free of charge.

Beyond our obligations under this section, we may, at our sole discretion and in good faith, also cover other costs or losses (for example in a case that falls outside the conditions above). That is our decision for the specific case - it creates no obligation for us, no right for you and no precedent for future cases.

## 9. Payment

The subscription is paid in advance - monthly, or annually if you chose annual billing (for “Dormant company” it is the only option). You pay by bank transfer against our invoice or, when available, by card via Stripe. Card payment will be available once we launch Stripe in the App; until then you pay by bank transfer.

**Annual billing.** The annual amount is paid in advance. If you terminate the contract, an annual amount already paid is not refunded and the unused part of the period is not returned. For “Dormant company”, the €100 annual fee (excl. VAT) is not refunded on termination.

All prices exclude VAT (20% VAT is added on top). The due date is shown on the invoice. The fee for the Payroll module (section 4) is invoiced after the end of each month, for the number of people in it. If you do not pay, we may restrict access under section 10. A price change to an existing subscription takes effect from the next billing period, with notice under section 16.

## 10. Term and termination

The contract has no fixed term, with no long-term commitment and no penalties. You can terminate it at any time by notice to hello@freeme.bg; termination takes effect at the end of the current paid period, and amounts already paid are not refunded. Section 11 then applies.

We may terminate or suspend your access for a material breach of these Terms that you do not cure within a reasonable time after notice, and immediately for non-payment, abuse or insolvency. For non-payment we may restrict access to the Service until the amount due is settled.

We may terminate the contract with immediate effect by written notice if you intentionally conceal accounts, transactions or documents from us or give us documents you know to be untrue, and where the law requires us to end the relationship (for example Art. 17 of the Bulgarian Measures against Money Laundering Act). Section 11 applies in these cases too.

We may refuse a payment, restrict your access or suspend the subscription immediately if we have a reasonable basis to believe there is a legal, regulatory or fraud risk - for example a payment from a sanctioned person or country, or suspected abuse. When payment is by card via Stripe, you accept that they may apply their own security and compliance checks.

## 11. Exit and handover of data

Within **30 days** after termination you receive a machine-readable export of the company’s data, a PDF archive of the accounting and the documents (including the payrolls, payslips and payroll declarations, if you used the Payroll module), and a handover protocol (приемо-предавателен протокол) for your next accountant.

After that we delete your data, except records we are required to keep under accounting and tax law; those are kept for the statutory periods (see the [Privacy Policy](https://freeme.bg/en/privacy)).

## 12. Availability and support

We aim to keep the Service available at all times, but we do not promise an availability percentage and do not guarantee uninterrupted access - planned maintenance sometimes has to happen, or technical issues outside our control occur. Where possible, we announce planned maintenance in advance.

Support: the chat in the App and email hello@freeme.bg. Support hours: standard working hours on working days, excluding public holidays in Bulgaria.

We recommend keeping your own copy of documents that matter to you. If data is lost or damaged, we will make reasonable efforts to restore it from the automatic backups; our liability is governed by section 15.

## 13. Artificial intelligence

We use artificial intelligence to work faster: it reads uploaded documents and suggests bookings, and FreeMe AI answers questions about your data in the App. Artificial intelligence never files anything with the authorities. An accountant reviews all incoming documents and their correct booking, and the monthly VAT returns are checked and signed by an accountant before they are filed.

Your data is not used to train models. The model providers we use on our behalf are listed among the sub-processors in the [Data Processing Agreement](https://freeme.bg/en/dpa).

## 14. Data protection

When you enter personal data of third parties in the Service (employees, owners, customers, suppliers), you are the controller of that data and we process it on your behalf. The [Data Processing Agreement](https://freeme.bg/en/dpa) is part of these Terms; in case of conflict about the processing of personal data, it prevails.

How we process data as a controller (account, Site) is described in the [Privacy Policy](https://freeme.bg/en/privacy).

## 15. Liability, force majeure, confidentiality and rights

### Limitation of liability

To the extent permitted by law, we are not liable for lost profits, loss of reputation or customers, or for indirect or consequential damages. The App is not provided with a guarantee of uninterrupted operation or absence of errors. Our total liability to you under these Terms is limited to the amount you paid us for your subscription in the 12 months preceding the claim; this does not affect the amounts covered under section 8, which have their own cap of €1,000 for each case under that section. These limits do not apply to the extent that Bulgarian law does not allow them to be agreed.

### Force majeure

We are not liable for failure or delay caused by circumstances beyond our reasonable control - for example natural disasters, an internet connectivity outage, or an outage at a third-party provider (hosting, an AI provider, a payment processor).

### Confidentiality

Each of us agrees to protect the other’s confidential information with the same care we would use for our own, and not to disclose it to third parties, except where required by law or by a competent authority.

### Intellectual property and your data

The content of the Site, the App, the logo and the FreeMe.bg brand are owned by the Company or used with permission and are protected by intellectual property law. The data you enter or upload (invoices, expenses, partners, documents) remains yours. You grant us the right to store and process it solely to provide you with the Service, to protect it (security, abuse prevention), and to communicate with you about your subscription - under section 14.

### Indemnification

You indemnify us against losses, costs and third-party claims arising from your breach of these Terms or from unlawful use of the Service, except to the extent the fault is ours. This includes losses, costs (including legal defence) and claims by authorities or third parties against us caused by withheld, incomplete or untrue data or documents you gave us (sections 6 and 8).

### Feedback

If you send us feedback, a suggestion or an idea about the Service, we may use it freely, with no obligation to compensate you.

## 16. Changes and notices

We may change these Terms. We announce material changes by email **30 days** before they take effect. If you do not agree with a change, you can terminate the contract under section 10 before it takes effect; if you keep using the Service after that, you accept the new version. The App may ask you to confirm the new version.

The current version is always published on this page with its number and effective date; a short changelog is at the end of it.

You send notices to us at hello@freeme.bg; we write to you at your account email and through notifications in the App.

## 17. Governing law and disputes

These Terms are governed by Bulgarian law. Disputes are resolved amicably and, failing that, by the competent court in Sofia.

These Terms do not create a partnership, employment or agency relationship between you and us. We may transfer our rights and obligations under them to an entity affiliated with the Company, of which we will notify you. If a provision is found unenforceable, that does not affect the rest.
